ResolVet Minimum Advertised Pricing (MAP) Policy

1. Purpose.  The purpose of this Minimum Advertised Pricing (MAP) Policy is to maintain the integrity of Hagyard Pharmacy’s Resolvet veterinary nutritional supplement brand, support the investments of licensed veterinarians and authorized resellers, and ensure fair competition in the marketplace. This policy helps support the provision of professional guidance to animal owners and caretakers, and promotes consistent, research-backed product positioning to the benefit of consumers.

2. Scope.  This MAP Policy applies to all authorized veterinary clinics, online resellers, distributors, and other authorized retail partners (collectively, “Resellers”) located in the United States who Hagyard Pharmacy has authorized to advertise and sell Resolvet products.

3. Guidelines.  It is the policy of Hagyard Pharmacy to suggest resale prices to its Resellers. This policy reflects Hagyard Pharmacy’s finding that competition in the marketplace for its products is maximized when they are sold at or above the suggested resale prices Hagyard Pharmacy has established a Minimum Advertised Price for each Resolvet product (referred to as the “MAP Price”).

4. MAP Price List.  The current MAP Price List will be made available to all Resellers.  Hagyard Pharmacy may from time to time update the MAP Price for any of its Resolvet products. 

5. Advertising Guidelines.  

1. Resellers may not advertise Resolvet products below the MAP Price in any publicly accessible medium, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, email newsletters, email solicitations, internet or other electronic media, social media, search ads, television, radio, and public signage.

2. Resellers may not market or advertise Resolvet products on any third-party website, such as Amazon, ebay, Overstock, etc. or any others, without prior written consent from Hagyard Pharmacy. Advertising and selling Resolvet products on an individual Reseller’s own website associated directly with the Reseller’s store is permissible so long as this MAP policy is adhered to at all times.     

3. This Policy does not restrict the actual sales price. Resellers remain free to sell Resolvet products at any price in-store or in a non-public manner (e.g., private negotiations).

6. Violations.  The following practices are considered violations of the MAP Policy:

1. Advertising a price below the MAP Price; 

2. Advertising statements such as “lowest price,” “guaranteed lowest price,” or “price too low to show”;

3. Using discount codes, rebates, or other promotions that reduce the advertised price below the MAP level;

4. Strikethrough pricing or “Was/Now” formats that show pricing below the MAP price;

5. Inclusion in advertising of free or discounted products, with a product covered by this MAP policy, if it has the effect of discounting the advertised price of the covered product below the Minimum Advertised Price.

7. Enforcement.  Hagyard Pharmacy reserves the right to monitor advertised prices.  It is the policy of Hagyard Pharmacy to refuse to sell to dealers or retailers who elect not to follow MAP prices.  Hagyard Pharmacy may take any action it deems appropriate if any Reseller advertises Resolvet products without following the MAP Price List, including providing a written warning, temporary suspension of product supply, or termination of reseller relationship.  

8. Unilateral Policy.  This MAP Policy does not require agreement or acknowledgment by any Reseller, and it is implemented unilaterally by Hagyard Pharmacy.

9. Temporary sales.  Hagyard Pharmacy maintains the right to run a temporary sale on Resolvet products in its sole discretion.  In such case, the MAP Price will be the same as the temporary sale price on those particular items for the particular time period of the temporary sale.

10. Request for Waiver.  Upon written request from an individual Reseller, waivers to this MAP Policy may be granted by Hagyard Pharmacy in Hagyard Pharmacy’s sole discretion when issued in writing by the MAP Policy Administrator.  Hagyard Pharmacy sales and marketing personnel, or any other personnel other than the MAP Policy Administrator, are not authorized to modify or grant exceptions to the MAP policy.  Resellers must strictly adhere to the terms of any waiver letter provided to them.  Any such waiver shall be for a limited period of time as specified in the waiver letter.  Deviation from the terms of a waiver letter is a violation of the MAP Policy.  Hagyard Pharmacy may also revoke a waiver letter or change terms of an approved waiver at any time in its sole discretion.
